Terms of Service

Please read these Terms of Service carefully before using Arca Wallet. By downloading, accessing, or using the Application, You agree to be bound by these Terms.
1. Interpretation and Definitions
Interpretation
Words with initial capital letters have meanings defined below. These definitions apply whether the terms appear in singular or plural.
Definitions
- "Application" means the mobile software program provided by the Company, named Arca Wallet, available on iOS and Android devices.
- "Application Store" means the digital distribution service operated by Apple Inc. (Apple App Store) or Google LLC (Google Play Store) through which the Application is made available.
- "Affiliate" means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
- "Account" means the wallet and associated profile created for You within the Application to access the Service.
- "Company" (referred to as "the Company," "We," "Us," or "Our" in this Agreement) refers to Constellation Network, Inc., a Delaware corporation.
- "Device" means any device that can access the Service, such as a smartphone, tablet, or computer.
- "Private Keys" means the cryptographic keys generated on Your Device that control access to Your digital assets. Private Keys are created and stored locally on Your Device and are never transmitted to or held by the Company.
- "Safe Apps" means third-party applications listed within the Application that have been verified for technical compatibility with Arca Wallet.
- "Service" refers to the Application and any related services provided through it.
- "Smart Wallet" means the on-chain smart contract account (based on ERC-4337 account abstraction) deployed for Your use through the Application.
- "Digital Assets" means blockchain-based tokens, including but not limited to USDC, USDT, and other ERC-20 tokens supported by the Application.
- "Terms" (also referred to as "Terms of Service") means these Terms of Service that form the entire agreement between You and the Company regarding the use of the Service.
- "You" means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
2. Acknowledgment
These Terms govern Your use of the Service and form the agreement between You and the Company. They set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.
You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
3. Non-Custodial Nature of the Service
3.1 You Control Your Assets
Arca Wallet is a non-custodial wallet. This means the Company does not hold, store, manage, or have access to Your Digital Assets at any time. Your Private Keys are generated and stored exclusively on Your Device. The Company never receives, transmits, or retains copies of Your Private Keys or recovery credentials.
3.2 No Custody or Fiduciary Relationship
The Company does not act as a custodian, trustee, fiduciary, or financial intermediary with respect to Your Digital Assets. The relationship between You and the Company is solely that of a software provider and its user. The Company does not execute, facilitate, or process transactions on Your behalf. All transactions are initiated, signed, and broadcast by You through Your Device.
3.3 No Recovery by the Company
Because the Company does not hold Your Private Keys, recovery phrases, or any other authentication credentials, the Company cannot recover, reset, or restore access to Your wallet or Digital Assets if You lose Your credentials. You are solely responsible for the safekeeping of Your Private Keys, recovery phrase, and any other authentication methods associated with Your Account.
3.4 Smart Wallet and Transaction Sponsorship
The Application deploys a Smart Wallet on supported blockchain networks for Your use. This Smart Wallet is controlled exclusively by Your Private Keys. The Company may sponsor network transaction fees ("gas fees") on Your behalf as a convenience. This sponsorship does not grant the Company any access to, custody over, or control of Your Digital Assets or Smart Wallet. The Company reserves the right to modify or discontinue fee sponsorship at any time without prior notice.
3.5 Your Sole Responsibility
You acknowledge and agree that:
- You are solely responsible for the security of Your Private Keys, recovery phrase, Device, and any authentication methods used to access the Service.
- You are solely responsible for all activity that occurs through Your wallet, including all transactions initiated from Your Smart Wallet.
- The Company has no ability to freeze, seize, reverse, or cancel any transaction once it has been broadcast to a blockchain network.
- The Company has no ability to recover Digital Assets sent to incorrect addresses or lost due to user error.
- Any loss of Digital Assets resulting from lost credentials, compromised Devices, unauthorized access, or user error is Your sole responsibility.
4. User Wallet and Security
You are responsible for safeguarding the authentication methods (including but not limited to passwords, biometric data, passkeys, and recovery phrases) that You use to access the Service.
You agree not to disclose Your Private Keys, recovery phrase, or authentication credentials to any third party. You must take all reasonable steps to protect Your Device from unauthorized access.
You understand that anyone who obtains Your Private Keys or recovery phrase will have full and irreversible access to the Digital Assets in Your wallet. The Company cannot intervene in such circumstances.
5. Transaction Screening
The Application may screen wallet addresses involved in transactions against third-party databases to identify restricted addresses. If an address is identified as restricted, the Application may prevent You from completing the transaction. The Company reserves the right to restrict access to the Service or block transactions to or from addresses that are flagged by such screening processes.
You acknowledge that these measures are in place to comply with applicable legal requirements and that the Company is not liable for any losses or inconvenience arising from a blocked or delayed transaction.
6. Identity Verification and Portable KYC
6.1 Identity Verification
Certain features of the Service, such as on-ramp and off-ramp services or access to specific Safe Apps, may require You to complete identity verification ("Know Your Customer" or KYC). Identity verification is performed by Sumsub (Sum and Substance Ltd.), a third-party provider, and may require You to submit personal information including Your full legal name, date of birth, government-issued photo identification, and proof of address.
Identity verification is voluntary. You are not required to complete KYC to use the core wallet functionality of the Service. However, declining verification may limit Your access to certain features.
6.2 Portable KYC Sharing
If You have completed identity verification, the Application allows You to share Your verified identity status with compatible third-party applications, including Safe Apps, without repeating the verification process. This feature is entirely opt-in and operates under the following conditions:
- Each sharing request requires Your explicit, informed consent through the Application. You will be shown the identity of the requesting application and the specific data to be shared before You approve or decline.
- You may decline any sharing request without affecting Your use of the core Service.
- Once Your identity data has been shared with a third-party application, that application is solely responsible for its handling of Your data under its own terms of service and privacy policy. The Company is not responsible for how any third party uses, stores, or protects Your data after You have consented to share it.
- You can review Your sharing history within the Application at any time.
6.3 Third-Party KYC Provider
Identity verification data is collected and processed by Sumsub under its own privacy policy and terms of service. The Company receives only the minimum information necessary from Sumsub to determine Your verification status and to fulfill its legal obligations. The Company does not store raw identity documents or biometric data on its own servers.
7. Arca Safe Apps
7.1 Compatibility, Not Endorsement
The Application provides a directory of third-party applications ("Safe Apps") that have been verified for technical compatibility with Arca Wallet. The inclusion of any application in the Safe Apps directory is solely an attestation that the application is technically compatible with the Arca Wallet interface. It does not constitute an endorsement, recommendation, sponsorship, or guarantee of any kind by the Company.
7.2 No Responsibility for Third-Party Applications
Safe Apps are developed, operated, and maintained by independent third parties. The Company does not control, audit, or assume any responsibility for the content, functionality, security, privacy practices, terms of service, or conduct of any Safe App. You interact with Safe Apps entirely at Your own risk.
7.3 Your Responsibility
When You access a Safe App through the Application, You are redirected to a third-party service. You acknowledge and agree that:
- The Company makes no representations or warranties regarding the safety, legality, quality, or suitability of any Safe App or the services it provides.
- You are solely responsible for evaluating the risks of using any Safe App, including reviewing its terms of service and privacy policy.
- Any Digital Assets You transfer to or interact with through a Safe App are subject to the risks inherent in that third-party application, including but not limited to smart contract vulnerabilities, platform insolvency, and regulatory actions.
- The Company is not liable for any losses, damages, or claims arising from Your use of any Safe App.
7.4 Changes to Safe Apps Directory
The Company may add or remove applications from the Safe Apps directory at any time and at its sole discretion, without prior notice to users. Removal of an application does not imply that the application was previously endorsed, and addition of an application does not imply endorsement.
8. Prohibited Uses
You agree not to use the Service for:
- Any activity that violates applicable local, state, national, or international law or regulation.
- Money laundering, terrorist financing, or any other financial crime.
- Circumventing or attempting to circumvent any transaction screening or security measures implemented by the Application.
- Accessing the Service from a jurisdiction where such access is prohibited by law.
- Any activity that could damage, disable, or impair the Service or interfere with other users.
9. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
10. Links to Other Websites and Services
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company, including but not limited to Safe Apps and blockchain explorers.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such websites or services.
11. Termination
We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms.
Upon termination, Your right to use the Service will cease immediately. However, because the Service is non-custodial, termination of Your access to the Application does not affect Your ownership of or access to Your Digital Assets. Your Private Keys and Digital Assets remain under Your control and are accessible through any compatible wallet application.
If You wish to terminate Your use of the Service, You may simply discontinue using the Application.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to damages for:
- Loss of Digital Assets, including losses resulting from unauthorized access, user error, or smart contract failures.
- Loss of profits, data, or other information.
- Business interruption or personal injury.
- Loss of privacy arising out of or in any way related to the use of or inability to use the Service.
- Interactions with third-party software, hardware, Safe Apps, or blockchain networks used with the Service.
This applies even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.
13. Digital Asset Risks
You acknowledge and accept the following risks associated with using the Service:
- The value of Digital Assets is highly volatile and can decrease significantly or become worthless. The Company makes no guarantees regarding the value of any Digital Asset.
- Blockchain networks may experience congestion, forks, or other disruptions that may delay or affect transactions.
- Smart contracts, including the Smart Wallet, may contain vulnerabilities or bugs that could result in loss of Digital Assets.
- Regulatory changes may affect the legality, usability, or value of Digital Assets in Your jurisdiction.
- Transactions on blockchain networks are generally irreversible. The Company cannot reverse or cancel transactions once broadcast.
14. "AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.
The Company makes no warranty regarding the security, reliability, or availability of any blockchain network, smart contract, or third-party service used in connection with the Application.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. In such a case, the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
15. Governing Law
The laws of the State of Delaware, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
16. Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
For European Union (EU) Users: If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.
17. United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
18. Severability and Waiver
Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver: Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
19. Translation Interpretation
These Terms may have been translated if We have made them available to You on Our Service. You agree that the original English text shall prevail in the case of a dispute.
20. Changes to These Terms
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, please stop using the Service.
